For the purposes of the Rules on the Offer of Securities and Continuing Obligations, it means the following:
- Affiliates of the issuer, excluding companies wholly owned by the issuer.
- The major shareholders in the issuer.
- The members of the board of directors and the senior executives of the issuer.
- The members of the board of directors of affiliates of the major shareholders in the issuer.
- The relatives of the persons referred to in 1, 2, 3, or 4 above.
- Any other company or entity controlled by any person referred to in 1, 2, 3, or 4 above.
- For the purposes of Paragraph 6 of this definition, “relatives” means the father, the mother, the husband, the wife, and the children.
