For the purposes of the Rules on the Offer of Securities and Continuing Obligations, it means an offer of securities that falls within one of the offering cases set out in Article Eight of the Rules on the Offer of Securities and Continuing Obligations. For the purposes of the Investment Funds Regulations, it means an offer of units in a private fund that falls within the offering cases set out in Paragraph (a) of Article Eighty of the Investment Funds Regulations, or an offer of securities in a foreign fund that falls within the offering cases set out in Paragraph (a) of Article Ninety-Eight of the Investment Funds Regulations. For the purposes of the Instructions for the Offer of Real Estate Contribution Certificates, it means an offer of real estate contribution certificates in accordance with the private offering set out in Paragraph (Thirdly) of Clause (2) of the Instructions for the Offer of Real Estate Contribution Certificates.
